MEMORANDUM OF UNDERSTANDING FOR AN ENUM TRIAL IN
THE UNITED STATES

• An agreement between the ENUM LLC and
  Participants in the public trial of ENUM in the
  U.S. under 1.e164.arpa
• Terms of cooperation in the conduct of the U.S.
  Trial
• To be signed by any party wishing to become a
  Participant in the U.S. Trial
• The current version of the MoU is a draft subject
  to modification prior to final approval by the
  ENUM LLC

ENUM LLC

• ENUM LLC will direct and monitor the Trial
• ENUM LLC intends to report the results to
  relevant authorities and to the public
• ENUM LLC will contract with a Project Executive
  (PE) at its own expense
• ENUM LLC will apply to the FCC for numbers for
  use in the Trial and will manage any numbering
  resources assigned

Participants

• Name a primary and up to two alternate
  representatives
• Participants will be expected to assist in
  developing the report of results of the Trial
• No expectation of financial benefits or
  compensation for participation
• Each Participant will bear its own costs
• No advantage or disadvantage to Participants who
  may bid on subsequent aspects of a commercial
  ENUM implementation

Trial Participants Advisory Committee (TPAC)

• Chaired by ENUM LLCs Project Executive
• Will have weekly conference calls
• Assist the ENUM LLC in the development of the
  Trial Plan
• Will assist the ENUM LLC in the development of
  Trial reports

Legal Considerations

• Participation neither confers ENUM LLC membership
  nor rights to membership
• No representations or warranties of any kind by
  either the ENUM LLC or the Participants
• Trial will be conducted subject to applicable
  data privacy and protection laws
• It is the clear and unequivocal policy of ENUMLLC
  and the Participants, that the U.S. Trial will
  comply in all respects with the relevant
  competition and antitrust rules

Legal Considerations (cont.)

• Participant may resign from the Trial with
  30-days written notice
• ENUM LLC may, at its sole discretion, terminate
  or suspend participation by any person or entity
• Trial Materials are confidential until such time,
  if any, that ENUMLLC releases the Trial Materials
  publicly
• The MoU may be amended by the ENUM LLC on 30-days
  notice

The ENUM LLC welcomes any input or suggestions
regarding the current draft of the MoU.
However, the ENUM LLC, at its sole discretion,
will determine the final content of the MoU.
