is not simply a statement of historical fact
(such as when we describe what we "believe,"
"expect," or "anticipate" will occur, and other
similar statements), you must remember that our
expectations may not be correct, even though we
believe they are reasonable. We do not guarantee

the understanding that actual future results may
be materially different from what we expect.
Many of the factors that will determine these
results are beyond our ability to control or
predict. You are cautioned not to put undue
reliance on any forward-looking statement. We do
not intend, and undertake no obligation, to
update these forward-looking statements. These
statements involve a number of risks and
uncertainties that could cause actual results to
differ materially from those expressed or implied

include, but are not limited to (1)
Fluctuations in product demand and market
acceptance (2) Uncertainties associated with
the general economic conditions in domestic and
international markets (3) Foreign currency
risks (4) Interest rate fluctuations
(5) Increased competition in our markets
(6) Changes in seasonality (7) Our ability to
make successful acquisitions, including
unanticipated delays in realizing, or inability
to realize, expected cost savings from
acquisitions (8) Difficulties in manufacturing
operations, such as production outages or
maintenance programs (9) Our degree of leverage
and uncertainties associated with servicing our
debt (10) Raw material availability (11) Fluctua
tions in raw material costs, in particular
fluctuations outside the normal range of
industry cycles (12) Changes in laws and
regulations and approvals and decisions of

Review of 2001 Business Conditions (Nine Months
ended September 30, 2001)
Distribution Segment Slow U.S. economy
continues to yield softness in the aftermarket
Profitability improved over the prior year as a
result of a favorable product ratio of
consumable supplies to capital equipment
Vehicle age, mileage, and tire maintenance
awareness by consumers are key demand drivers
and present a positive outlook Myers
maintains strong leadership position with
unmatched capabilities to serve customers
Competition is fragmented Myers is the largest
resource
44
Review of 2001 Business Conditions (Nine Months
ended September 30, 2001)
Manufacturing Segment Economic conditions
continued to depress demand in industrial transp
ortation, and automotive markets, where most
customers have limited spending because their
own revenues and profits are under pressure.
Plastic resin prices were lower during the third
quarter, but the benefits were offset by soft
demand and decreased absorption of fixed costs
from lower production levels. The Company
holds leadership positions in many of its
niche markets, but due to the persistant, weak
economic conditions management anticipates no
significant recovery in most of the markets
before year end.
45
Review of 2001 Business Conditions
Management focused on product innovation, cost
controls, and continuous improvement to
operational efficiency Enhance competitive
position Improve profitability
Strong cash flow / debt-reduction is a
priority Current debt level the result of
strategic acquisitions / expansion Total debt
at end of 2000 300.2 million Total debt was
reduced 9.1 million in 3Q, and has been reduced
21.2 million for nine months, ended Sept. 30,
2001
Market conditions will eventually improve. . .
. Myers should emerge well-positioned to
accelerate growth
