Dennis C. Gomes, Chairman CEO Dennis Gomes is
among the most respected names in gaming, resort
and casino management. His impeccable career
includes that of lead investigator for the Nevada
Gaming Control Board, President of Trump Taj
Mahal Hotel Casino in Atlantic City, President
of the Tropicana Resort Casino and Golden
Nugget Hotel Casino in Las Vegas and President
of the Aladdin Hotel Casino in Las Vegas. In
addition, he was President of the Casino
Association of New Jersey and helped state
legislators write major gaming legislation. Mr.
Gomes holds an MBA degree from the University of
Washington.

Adam M. Mizzi, President Adam is well known in
the industry for utilizing creative strategies to
lead ambitious repositioning efforts for many of
the top gaming companies. Adam is performance
oriented and is credited for driving record
resort and casino revenues in excess of 700
million annually.

William L. Schierberl, - General
Counsel Mr.William (Bill) Schierberl has over 45
years of experience in providing solutions for
leading transportation, industrial, and real
estate development clients worldwide. He was lead
counsel for Trans World Airlines in their
construction of the famous TWA terminal at John
F, Kennedy International airport in New
York.  Bill was then instrumental in launching
Air Puerto Rico as a scheduled carrier into the
Dominican Republic from Miami, San Juan, and
Caracas. Opening up these routes caused a
significant increase in air travel to the
Dominican Republic.

Costa Rica The country of Costa Rica is known for
extraordinary natural beauty, which has resulted
in a strong eco-tourism industry.
Internationally known five-star resort operators
such as Four Seasons, Marriott, Hyatt, Starwood
and St. Regis have either begun operation or have
announced plans to develop resorts in Costa Rica.

The Vision Our project goal is to position our
development as the preeminent entertainment
destination in Central America and to thereby
further Costa Ricas image as the entertainment
capital of Central America.
This resort will grow the market exponentially by
exposing the international traveler to a new all
encompassing entertainment destination.

Initial Development In the first phase of our
project, we would develop a brand-name hotel and
condo high-rise tower with 350 rooms. In
addition, the hotel would house a fully
integrated 15,000 square foot casino, 10,000
square foot Spa and conference rooms. A
world-class nightclub and lounge along with
internationally recognized restaurants would
compliment our high-end retail amenities.
As part of the facility, we would build a Costa
Rican themed outdoor retail, dining and
entertainment village, surrounding a major open
air courtyard that would be the center point for
many resort activities including outdoor dining,
music and Costa Rican folk events.

Economics Financially, we estimate that the
initial resort will drive operating revenues in
excess of 60 million annually. This does not
take into consideration condominium or
residential sales, which we estimate at 64
million in the first phase.
In addition, we estimate that this property will
employ at least 600 Costa Ricans permanently and
several hundred during construction.

Master Plan When the 175-acre project is complete
we plan to have three separate mixed-use resort
projects along the three kilometers of beach
frontage. The three properties combined will
generate over 180 million in operating revenues
annually. Each resort will carry an
internationally recognized hotel brand catering
to different market segments. The project will
also contain a residential community consisting
of approximately 100 custom beach front homes. We
estimate that sales from residential
(condominiums and single family units) will be at
least 350 million.

Preliminary Planning and Analysis Although we are
convinced that this project is a winner and will
be successful from both a financial and an
aesthetic standpoint, we are businessmen and as
such believe in the critical nature of proper
planning and due diligence. Consequently, we
will take advantage of Mr. Gomes and Mr. Mizzis
relationships and experience and will engage
world-class companies to perform the following
preliminary studies.

Market study and overview An in-depth study will
be undertaken of Costa Rican tourism statistics
and trends along with a detailed assessment of
current and existing resorts, casinos, retail and
residential developments and their operating
results.

Feasibility Study A financial analysis of our
proposed project and its viability, based on
market trends and demographics, will be completed
by an independent and well known consulting group
who has a world wide reputation for work in the
gaming and resort industry. This study will allow
us to move forward or to make any necessary
adjustments indicated by study results.

Infrastructure Analysis An evaluation of all
scenarios and options regarding infrastructure,
water, minerals, sewage, power,
telecommunications, and environmental impact will
be carried out by qualified engineers.

Land Planning and Architectural Design
Concepts An internationally renowned
architectural firm that Mr. Gomes has worked
closely with in the past will develop a
comprehensive master plan for the project as well
as design and architectural concepts.  During the
development of these plans, the architectural
firm will work closely with Messrs. Gomes and
Mizzi and with one of the top Costa Rican
construction companies that is experienced in the
construction of the most successful resorts
currently operating in the country.

Licenses and Certificates Once preliminary plan
approvals and licenses have been obtained from
the local municipalities and federal authorities,
completion of detailed architectural plans would
commence. Once these have been completed and all
necessary permits are obtained, construction
would begin.

Approximately 90 million will be needed to
complete the first phase of the resort project,
and will consist of the following components
  • 25 acres of prime beach front property
  • High-rise hotel and condo structure
    approximately 12 floors
  • 350 units 200 hotel rooms and 150 condo units

  • World Class Casino 15,000 square feet of
    integrated casino space (master planned for
    expansion)
  • Spa/Gym 10,000 square feet
  • Restaurants One Café, two fine dining
    restaurants, and one pool bar and grill

  • Retail Village Activity and lounging plaza,
    stores, ethnic market place, indoor/outdoor
    restaurants, logo shop, trendy beach recreation
    wear, pro-surf shop, etc.
  • Pool 6 acres of resort pools, cabanas and
    beach club
  • Bars Lounges Casino Lounge, Pool Bar, Ultra
    Lounge/Nightclub

Repayment - The majority of the debt will be
repaid by profits from condo and residential
sales. We estimate that 60 of the condo units
will be sold prior to the completion of
construction and the remaining units will be sold
during the first year of operation.

Pre-Opening Residential Sales Marketing
Corporate Brand Launch - Once a corporate brand
has been identified, the newly branded company
will send out a press release through all media
channels announcing their new hotel, retail,
dining, entertainment and condo project in Costa
Rica.
Website Development- A web site will be created
to give guests an opportunity to explore the
project and condominium floor-plans on-line,
creating pre-sale interest lists and to collect
condo deposits as soon as all plans are approved.

Pre-Opening Residential Sales Marketing
Local Bank Relationship A relationship will be
established with a local bank, which will act as
an underwriter and title insurance company, as
well as providing banking services to the
project. Establishment of Sale offices Sales
offices will be opened in Tamarindo and San Jose,
Costa Rica.

World Wide and Local Marketing Once
construction begins, advertising will be placed
in local tourist publications, billboard venues
and targeted magazines and ads will be run in
selected magazines that cater to the jet set and
to international travelers. A public relations
firm will be hired in order to create free
advertising through the generation of non
advertising related newspaper articles and other
media coverage regarding the project.
On Site Sales Efforts - A portable sales trailer
will be set-up at the site with a model of a
two-bedroom condo suite.

Pre-opening Resort Sales and Marketing
  • Reservations At approximately six months from
    opening, the acceptance of web-based reservations
    will commence. An outsourced call center will be
    utilized until the resort commences operations.
  • Sales and Groups Marketing to small groups and
    businesses for meetings, events and retreats will
    begin 12 months prior to opening.
  • Casino Marketing Affiliation programs will be
    put into place with key casino markets Las
    Vegas, Atlantic City, and other US casinos.

  • Direct marketing programs initial mailings
    will be sent to the corporate brand database to
    build awareness and buzz approximately four
    months prior to opening.
  • Personnel Training - A full month of intensive
    training is anticipated in order to guarantee the
    best service possible. In addition, it may be
    necessary to bring in some US talent for the
    casino operation and player development.

Systems Selection - All reservation, point of
sale, PBX systems etc., will be selected early in
the development stage. Planning for future
capacity to handle increased load from future
expansions will be done simultaneously.
