What is Governance?
  • How a company is run.
  • How authority within a company is maintained,
    exercised, delegated and limited.
  • The way in which decisions important for the
    future of organisations are taken, communicated,
    monitored and assessed.
  • Includes the processes an organisation has for
    holding managers accountable and measuring
    performance

And furthermore
  • how the organisation ensure it has the structures
    and processes that maximise performance?
  • how will the organisation, including CERCS,
    determine their rights, obligations and powers of
    the stakeholders?
  • how are members to be assured of a voice?

    Co-operative Principles-
  • Co-operative are democratic organisations
    controlled by their members, who actively
    participate in setting their policies and making
    decisions.
  • Women and Men serving as elected representatives
    are accountable to the membership..

  • 4th Principle Autonomy and Independence
  • Co-operatives are autonomous, self-help
    organisations controlled by their members. If
    they enter into agreements with other
    organisations, including government, or raise
    capital from external sources, they do so on
    terms that ensure democratic control by their
    members and maintain their Co-operative autonomy.

  • Can the co-operative principles co-exist with
    governance requirements?
  • Is co-operation the same as democracy?
  • Can everyone be responsible for all actions?
